Public Offer (Adhesion Agreement) for Electronic Information Interaction with the Fealthy Service

FEALTHY Limited Liability Company (hereinafter – the Provider), EDRPOU code: 45783116, registered address: 46023, Ukraine, Ternopil region, Ternopil, Zluky Ave., 55, apt. 115, acting through its Director Rostyslav Anatoliiovych Pidburachynskyi, acting under the Charter, on the one hand, and The person who has joined (accepted) this Agreement (hereinafter – the User), on the other hand, jointly – the Parties, have entered into this adhesion agreement (hereinafter – the Agreement) as follows.
1. GENERAL PROVISIONS
1.1. This Agreement is an adhesion contract within the meaning of Article 634 of the Civil Code of Ukraine and may be concluded only by the User’s full acceptance of all its terms via the web or mobile interface of Fealthy (hereinafter – the Service) by clicking the consent button/checkbox, registering an account, or by actual use of the Service.
1.2. Terms are used in the meanings set forth by the laws of Ukraine “On Information,” “On Electronic Communications,” “On Personal Data Protection,” “On Electronic Identification and Trust Services,” as well as in the Provider’s Privacy Policy and Terms of Service.
1.3. The current version of the Agreement is published at https://fealthy.com.ua/ . The moment of acquaintance is deemed to be the moment when the information became available at the specified link.
2. SUBJECT OF THE AGREEMENT
2.1. The Provider grants the User the ability to electronically interact with the Service, namely: keeping records of income/expenses, categorizing transactions (including AI-powered categorization), synchronizing transactions with supported banks and data sources, generating analytics and reports, using voice commands, participating in shared budgets, and using additional personal finance management tools (hereinafter – Information Interaction).
2.2. The scope and availability of features are determined by the current functionality of the Service and/or the selected subscription tier (Free, Pro, Premium, or Family). Detailed descriptions of subscription tiers and features are provided in the Terms of Service.
2.3. The User acknowledges that the Provider is not a bank or financial institution, does not provide financial/payment services, and that the Service’s recommendations, AI insights, and analytics are for informational purposes only and do not constitute investment, financial, tax, or legal advice.
2.4. Certain integrations with third parties (banks, payment providers, import services) may require separate consent, access tokens, or confirmations in the respective third-party applications. Bank integrations provide read-only access only, via API tokens issued by the bank itself — the Provider does not receive your bank login or password and cannot initiate payments or modify bank data.
3. RIGHTS AND OBLIGATIONS OF THE PARTIES
3.1. The Provider undertakes to:
3.1.1. Provide access to the Service in accordance with this Agreement and the selected subscription tier. The Service is provided on an “AS IS” and “AS AVAILABLE” basis without a guaranteed uptime percentage; detailed disclaimers are set out in the Terms of Service.
3.1.2. Implement organizational and technical measures to protect the User’s data.
3.1.3. Inform about changes to the Agreement by a prominent notice on the website (primary channel) and, additionally, by email or push notifications (on a best-effort basis).
3.1.4. Maintain and update integration interfaces within technical feasibility.
3.2. The User undertakes to:
3.2.1. Provide accurate data when registering and using the Service.
3.2.2. Refrain from actions that violate the laws of Ukraine, the rights of third parties, or the operation of the Service.
3.2.3. Independently ensure the confidentiality of account credentials and integration accesses/tokens.
3.2.4. Use data obtained from the Service within personal/own needs and not distribute third parties’ confidential information. This provision does not limit your right to obtain a copy of your own personal data under the Privacy Policy (§6.8).
3.2.5. Promptly inform the Provider about security incidents or unauthorized access.
3.3. The User has the right to:
3.3.1. Access the Service in accordance with the selected subscription tier.
3.3.2. Contact support at hello@fealthy.com.ua or via the Service interface.
3.3.3. Stop using the Service at any time (including requesting deletion of the account/data within the limits set by law and the Privacy Policy).
3.3.4. Opt out of AI-powered features at any time through account settings.
4. PERSONAL DATA PROCESSING
4.1. Processing is carried out pursuant to the Law of Ukraine “On Personal Data Protection” and the Privacy Policy (an integral part of this Agreement).
4.2. The User consents to the processing of personal data for the purpose of providing access to Service features, support, and improving service capabilities.
4.3. The Provider implements organizational and technical measures to protect data from unauthorized access, accidental loss, destruction, or modification.
4.4. In the event of a security incident that may pose a high risk to Users’ rights and freedoms, the Provider informs Users and the relevant supervisory authority without undue delay — and in any event within 72 hours where required by law — and acts in accordance with internal response procedures.
4.5. Voice command audio is transmitted to third-party speech-to-text providers (AssemblyAI; OpenAI Whisper as fallback). The Provider does not store voice recordings on its own infrastructure; providers may briefly retain audio under their own privacy policies. Only the resulting text is saved. See the Privacy Policy for details.
5. FEES AND PAYMENT PROCEDURE
5.1. Access to the Service is provided in accordance with subscription tiers: Free, Pro, Premium, and Family. Current pricing and features are published at https://fealthy.app or in the app.
5.2. Payment for paid subscriptions is made via available payment services (App Store, Google Play, Mono Pay); services are deemed provided from the moment the subscription is activated.
5.3. Subscriptions automatically renew until cancelled. Details regarding cancellation, refunds, and downgrade policies are provided in the Terms of Service.
5.4. A 14-day free trial may be available for new users. Trial terms are displayed at signup.
6. LIABILITY AND LIMITATIONS
6.1. The Parties are liable for non-performance/improper performance of obligations in accordance with this Agreement and the laws of Ukraine.
6.2. The Provider does not guarantee error-free analytics/AI categorization and is not responsible for the User’s financial decisions made on the basis of the Service’s data.
6.3. The Provider is not liable for malfunctions of third-party services, banks, payment systems, communication/Internet networks, mobile platforms, as well as for the unavailability of integrations for reasons beyond the Provider’s control.
6.4. Force majeure (including wartime hostilities, emergency outages, attacks on infrastructure, global network failures, etc.) releases the Parties from liability for the duration of such circumstances.
6.5. The Provider’s aggregate liability is limited as set forth in the Terms of Service.
7. INTELLECTUAL PROPERTY
7.1. All economic (proprietary) intellectual property rights in the Service, its code, design, databases, AI models, and content belong to the Provider or its licensors.
7.2. The User is granted a non-exclusive, revocable, non-transferable license to use the Service within the functionality and selected subscription tier.
8. DISPUTE RESOLUTION
8.1. Disputes shall be resolved through negotiations; if no agreement is reached – in the courts of Ukraine at the Provider’s registered address (Ternopil).
8.2. The substantive law of Ukraine applies.
9. AMENDMENTS TO THE AGREEMENT
9.1. The Provider may unilaterally amend the Agreement/subscription terms by publishing a new version at https://fealthy.com.ua .
9.2. Material changes (those affecting the User’s rights, the price, or the scope of the Service) take effect 30 days after publication and notice to the User. Non-material changes (clarifications, typo fixes, formatting) take effect on the date of publication. Changes immediately required for security reasons or by law take effect within the period determined by the respective requirement.
9.3. Continued use of the Service after publication of amendments constitutes acceptance thereof. A User who disagrees may stop using the Service and/or delete their account.
10. TERM AND TERMINATION
10.1. The Agreement enters into force upon acceptance and remains in effect until the User ceases to use the Service, unless otherwise provided herein or by law.
10.2. The Provider may suspend or limit the User’s access in case of a breach of the Agreement/law, security threats, fraud, or other grounds provided by law, with notice within a reasonable time (except when immediate suspension is required to prevent harm).
10.3. The User may terminate the Agreement by ceasing to use the Service and (optionally) submitting a request to delete the account/data pursuant to the Privacy Policy.
10.4. Effects of termination are detailed in the Terms of Service.
11. COMMUNICATIONS AND MEDIA
11.1. Official notices from the Provider are delivered in order of reliability: a prominent notice on the website and in the Service interface (primary channel); e-mail and push notifications (secondary, best-effort channels).
11.2. Use of Fealthy trademarks/logos in the User’s public materials is allowed only with the Provider’s prior written consent.
12. FINAL PROVISIONS
12.1. The invalidity of any provision shall not affect the validity of the remaining provisions.

12.4. This Agreement is drawn up in Ukrainian and English. In the event of any discrepancy between the versions, the Ukrainian version prevails.
This Agreement is governed by the laws of Ukraine.
